These Terms govern your use of NegoVitae™ (the "Service"), an agentic AI web application that generates a private Capital Ledger for your career or your business. By submitting the intake form, creating an account, or paying for a Plan, you agree to these Terms.
Service — the NegoVitae™ web application: the diagnostic and 90-day roadmap engine, the Single Use, Monthly Subscription, and Annual Subscription plans, magic-link authentication, and the weekly autonomous agent.
Ledger — the diagnostic score, roadmap, written artifacts, and recommended actions generated for you from the facts you submit, together with the downloadable PDF Certificate of Record described in clause 2.5.
Single Use — a one-time fee, currently US$11.99 for Career Enhancement or US$19.99 for Business Development, paid via PayPal, that generates one complete Ledger. It does not include the weekly autonomous agent.
Monthly Subscription — a recurring fee, currently US$15/month for Career Enhancement or US$25/month for Business Development, paid via PayPal, billed every month until cancelled. It includes unlimited re-runs of your Ledger and the weekly autonomous agent.
Annual Subscription — a fixed-term fee, currently US$150/year for Career Enhancement or US$250/year for Business Development, paid via PayPal, billed once per year as a non-cancellable annual contract. It includes the same access as the Monthly Subscription.
Plan — whichever of Single Use, Monthly Subscription, or Annual Subscription you have purchased for a given track (Career Enhancement or Business Development). Current prices for all Plans are listed on our Pricing & Subscription page.
AI Outputs — any diagnostic, roadmap, artifact, action, or weekly-scan text generated by the third-party AI models the Service uses.
2.1 NegoVitae™ has no free tier and no trial. Generating a Ledger — the Capital Index score, 90-day roadmap, ready-to-use written assets, and this week's recommended actions — requires an active, paid Plan.
2.2 Monthly Subscription and Annual Subscription additionally activate a scheduled weekly re-scan that emails you freshly generated next actions with no further input from you, for as long as that Plan remains active. Single Use does not include this weekly scan; it covers one Ledger generation only.
2.3 We may change the prompts, models, or scoring methodology behind the Service at any time. Re-running the same facts on a different date may produce a different Ledger; that is not a defect.
2.4 We may change the price of any Plan for future purchases or renewals at any time. A price change does not affect a Plan you have already paid for in full, and for Monthly Subscriptions we'll give you reasonable notice before a new price applies to a future renewal.
2.5 Every Ledger includes a downloadable PDF Certificate of Record: the Ledger's content together with a SHA-256 hash computed over that content, your account, the track, the Plan it was generated under, and the generation timestamp. Downloading the certificate recomputes that hash at the time of download and states whether it matches the hash recorded when the Ledger was generated. The certificate attests to the integrity of the recorded content only — it is not, and does not certify, the accuracy, completeness, or suitability of any advice the Ledger contains (see clause 10 on liability).
3.1 You must be at least 18, or the age of majority where you live, to create an account or pay for any Plan.
3.2 Accounts are passwordless. We send a one-time sign-in link to the email address you provide; it expires after 15 minutes and can be used once. We never create or store a password for your account.
3.3 Your session token is stored only in your own browser's local storage, valid for 30 days. You are responsible for the security of any device you use to access the Service while signed in.
3.4 You are responsible for the accuracy of the facts you submit. The Service grounds every Ledger strictly in what you provide; incomplete or inaccurate input produces incomplete or inaccurate output.
4.1 Every Plan is payable in full via PayPal before or at the point the corresponding Ledger content is generated.
4.2 All fees, under every Plan, are non-refundable on request, except where a refund is required by law.
4.3 Single Use is a single, one-time charge covering one Ledger generation. There is no subscription, renewal, or ongoing commitment attached to it.
4.4 Monthly Subscription renews automatically every month until cancelled. You may cancel at any time going forward; cancelling stops future billing but does not refund or prorate the billing period you've already paid for — you keep access through the end of that period.
4.5 Annual Subscription is a fixed, non-cancellable annual contract. Once purchased, it runs for the full year and is not refunded, prorated, or cancelled partway through, regardless of how much or how little you use the Service during that year.
4.6 If PayPal grants a refund or you successfully dispute a charge despite the above, we revoke the associated Plan — including the weekly autonomous scan, where applicable — automatically, effective when PayPal notifies us of that outcome.
4.7 You are responsible for any taxes applicable to your Plan's fee in your jurisdiction.
5.1 For Ledgers under an active Monthly Subscription or Annual Subscription only, our scheduled function re-reads your latest saved Ledger on a weekly cadence and emails you freshly generated next actions, without further input from you. Single Use Ledgers do not receive this weekly scan.
5.2 We do not guarantee a specific day, time, or that a run will occur every week without interruption; a missed or delayed run is not a breach of these Terms.
5.3 If you'd like the weekly scan stopped for your account, contact us at the address above and we will disable it.
6.1 AI Outputs are generated automatically and are probabilistic — they may be inaccurate, generic, incomplete, or wrong, even when phrased confidently.
6.2 NegoVitae™ provides general career and business guidance only. It is not legal, financial, tax, or licensed career-coaching advice, and you should not treat it as a substitute for advice from a qualified professional before making decisions with real consequences (resigning, signing a contract, changing pricing, raising capital, and similar).
6.3 You are solely responsible for reviewing and verifying any AI Output before relying on it, sending it to a third party, or acting on it.
7.1 To generate your Ledger, the facts you submit — and, at later stages, the previous stage's output — are sent to Groq (running OpenAI GPT-OSS 120B) for the diagnose, roadmap, and actions stages and the weekly scan, and to Cerebras (running Gemma 4 31B) for the artifacts stage, solely to generate that stage's response.
7.2 The Service also depends on PayPal (payment), Neon (database), Resend (email), and Netlify (hosting). Each operates under its own terms and privacy practices; we are not responsible for their outages, errors, or policy changes, though we'll do our best to keep the Service working around them.
8.1 You own the facts you submit and the specific written content generated for your Ledger (your diagnostic, roadmap, artifacts, and actions) once generated, and may copy, edit, and use it for your own personal or business purposes without restriction from us.
8.2 We retain all rights in the Service itself: the NegoVitae™ name and mark, the site and its design, the scoring methodology, the system prompts, and all underlying software and know-how. Nothing in these Terms licenses you to copy, resell, scrape, or rebuild the Service.
8.3 NegoVitae™, the NegoVitae™ name and mark, are trademarks of THE SOFTWARE SUITE™ and Hakimi Abdul Jabar (also known as A.J. Hakimi), who are the registered copyright owners and trademark holders.
9.1 You will not use the Service to generate unlawful content, to attempt to extract underlying system prompts or model instructions, to send automated or bulk requests to the diagnostic, or to submit facts about a person other than yourself without their knowledge.
9.2 We may suspend or terminate access for breach of this clause.
10.1 The Service is provided "as is." We make no warranty that it will produce any particular career or business outcome — a promotion, a raise, a completed sale, capital raised, or any other result.
10.2 We are not liable for indirect, incidental, or consequential loss, including lost income, lost business opportunities, or loss of data, however arising.
10.3 Our total aggregate liability under these Terms is limited to the amount you paid us in the 12 months before the claim arose — typically your Plan fee(s) for that period, or nil if you have not paid us.
10.4 Nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, or any liability that cannot lawfully be excluded.
11.1 We may suspend or close your account for breach of clause 9, or on reasonable notice for any other reason, subject to applicable law.
11.2 You may stop using the Service, or ask us to delete your account, at any time by contacting us. A Ledger you've already paid for remains accessible unless terminated for breach; this does not entitle you to a refund of any Plan fee (see clause 4).
12.1 Governing law. These Terms are governed by the laws of the State of New York, USA, and applicable federal laws of the United States. The state and federal courts located in New York County, New York have exclusive jurisdiction.
12.2 Entire agreement. These Terms are the entire agreement between us regarding the Service and supersede any prior discussion or representation.
12.3 Variation. We may update these Terms from time to time. The version in force on the date you use the Service or pay for any Plan governs.
12.4 Severance. If any clause is unenforceable, the rest remains in force.
12.5 No partnership. Nothing here creates a partnership, joint venture, agency, or employment relationship.
